Terms of service

The Shopify Portal is owned and operated by PCL/Gravitas Media. We offer a service whereby users of the Shopify Portal may request and pay for merchandise.

Words prefixed by a capital letter are defined in the definitions section at clause 14.

  1. Acceptance of Terms and Conditions

    1. By accessing and using the Shopify Portal, you agree to these Terms. If you do not wish to agree to these Terms, please do not use the Shopify Portal.
  2. Why You Need to Read these Terms

    1. These terms are an agreement between us (PCL/Gravitas Media) and you, the individual using the Shopify Portal on behalf of the Customer.
    2. These terms come into effect once you have accessed the portal using the login information supplied to you by the Customer.
  3. Your Use of the Account

    1. You agree:
      1. Not to permit any other person to use your user name or Account – multiple people using the same login is not permitted;
      2. Not to disclose, or provide to any other person, your password, user name or any other information in connection with your Account that may allow other persons to gain access to your Account;
      3. To notify us immediately if you become aware that another person has accessed or used your Account;
      4. Not to use the Shopify Portal for any phishing, spoofing, illegal or fraudulent activity which will violate international or New Zealand law;
      5. Engage or contribute in any wrongdoings that may create a liability for us;
      6. Impersonate any person or entity.
    2. You are responsible for any unauthorised use of your Account of which you were aware and failed to notify us of, and for all losses or charges, including losses or charges that may result from unauthorised or fraudulent use of your Account.
    3. We may terminate your Account immediately for breach of these terms or in our sole discretion upon giving 14 days’ notice.
  4. Acceptance of Terms And Conditions

    1. We may amend or modify the Shopify Portal and / or Services at any time for any reason, and without notice or liability to you or any third party.
    2. We will use reasonable endeavours to ensure the availability of the Shopify Portal and Services, subject to any downtime required for maintenance or technical faults. However, we are not responsible for any system unavailability, or for any loss that is incurred as a result of the Shopify Portal or the Services being unavailable. Further, we assume no responsibility for the corruption of any data or information held by us.
    3. We only provide technical support by way of email correspondence, phone, fax or in writing.
    4. You acknowledge that your use of the Shopify Portal is at your sole risk and the Shopify Portal and the Services are provided on an "as is" and "as available" basis. All terms which may be implied by law are excluded to the maximum extent possible under law.
  5. Placing Orders Through the Shopify Portal

    1. You agree to read the turnaround information posted on the home page of the Shopify Portal before proceeding with any Order.
    2. In all use of the Shopify Portal you shall:
      1. Comply with these terms and conditions (as amended);
      2. Comply with all policies and procedures posted on the Shopify Portal;
      3. Comply with all applicable laws and regulations;
      4. Not knowingly take any action which imposes or may impose (in our discretion) an unreasonable or disproportionately large load on the Shopify Portal, our system, or infrastructure;
      5. Not interfere or attempt to interfere with the proper working of the Shopify Portal.
  6. Confirmation of Orders

    1. Upon completing an Order you will be emailed a confirmation verifying the Order you wish us to process and the Price (or such part of the Price which is ascertainable at the time of placing the Order). It is your responsibility to verify the Order details are accurate and correct. You should print the Order confirmation for future reference and your files. We shall have no liability for Orders which are incorrect as a result of inaccurate data entry in the course of going through the Order process or for loss of data or information caused by factors outside of our control.
    2. When you confirm your Order you confirm that you are authorised to make that Order on behalf of the Customer and enter into a contract on the Customer’s behalf subject to PCL/Gravitas Media’s Terms and Conditions of Sale and that the Customer will pay the Price.
    3. When you confirm your Order you shall be given the option to make payment of the Price (or any portion of the Price) either online by credit card or by invoice. Payment online using our E- Commerce Services shall be subject to the conditions set out below. Payment by invoice shall be subject to PCL/Gravitas Media’s Terms and Conditions of Sale.
    4. We reserve the right to not action any Order made by you if we, in our discretion, consider such Order breaches clause 6.
  7. E-commerce Terms

    1. You agree not to use our E-Commerce Services for any improper, injurious, offensive or unlawful purpose.
    2. In using our E-Commerce Services, you represent and warrant that you are over 18 and have legal capacity to enter into a legal contract on behalf of the Customer. If you are using a credit or debit card, you represent and warrant that the card is issued in the name of the Customer and you have authority from the Customer to use the credit card for the Order. You acknowledge that the Customer shall pay to the card issuer all charges incurred through the use of our E-commerce services.
    3. Upon completing a transaction using our E-Commerce Services, you will be presented with a confirmation screen verifying the transaction details you wish to process. It is your responsibility to verify that all transaction information and other details are correct. You should print the transaction confirmation for future reference and your files. We shall have no liability for transactions which are incorrect as a result of inaccurate data entry in the course of providing E- Commerce Services or for loss of data or information caused by factors outside of our control.
    4. Refunds shall only be made in accordance with PCL/Gravitas Media’s Terms and Conditions of Sale.
    5. In the unlikely event a processing error occurs in the payment of the Price we will credit the Customer’s credit or debit account within 30 days.
  8. Delivery of Goods

    1. Whilst we shall use all reasonable endeavours to deliver the Goods within the time stated in the turnaround information posted on the home page when you submit your Order, such turnaround information is an estimate only and we shall not be liable for any delay in delivery.
    2. Delivery shall be in accordance with PCL/Gravitas Media’s Terms and Conditions of Sale.
    3. We reserve the right to levy additional charges for delivery, which are not apparent when the Order is placed.
  9. Trademarks and Copyrights

    1. You agree that we own or are the authorised user of the copyright, trademarks and all other intellectual property rights in the software, text, graphics and other material displayed or available through the Shopify Portal . You shall not publish, distribute, extract or reproduce any such content in any material form, except as it relates to your authorised use of the Shopify Portal.
    2. You must not modify, adapt, reverse engineer, or hack the Shopify Portal or modify another website so as to falsely imply that it is associated with the Shopify Portal, the Services or us.
    3. You agree not to reproduce, duplicate, copy, sell, resell or exploit, any portion of the Shopify Portal, use of the Shopify Portal, or access to the Shopify Portal, without our express written permission.
  10. Exclusion of Liability

    1. Shopify Portal content: Whilst we has made every effort to ensure that the Shopify Portal provides accurate information, the Shopify Portal is provided on an “as is” basis and the information provided is for general guidance only and does not constitute advice of any kind.
    2. E-commerce facility: we accept no liability or responsibility for the refusal or reversal of payments which are matters between you and the credit or debit card provider.
    3. Provision of Shopify Portal and E-commerce facility: we cannot warrant that your use of the Shopify Portal or E-Commerce Service will be faultless, immediate, continuous, and virus free, nor that information provided through the Shopify Portal or E-Commerce Service will be complete, accurate or up to date. We will endeavour, however, to ensure the Shopify Portal is available at all times, subject to maintenance.
    4. General exclusion: Neither we, nor any of our Directors, shareholders, or employees shall be liable for loss or damage arising out of or in connection with the use of this Shopify Portal or reliance on its contents. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties.
    5. Consumer law: none of the exclusions and limitations in the clause are intended to limit any rights you may have as a consumer under law or other statutory rights which may not be excluded.
    6. Damage to equipment: we shall not be liable for any damage to your equipment or the equipment of the Customer resulting from the use of this Shopify Portal.
  11. Modification of Terms

    1. We reserve the right to make any changes to these Terms at any time by posting the revised Terms in the “Terms and Conditions Section” of the Website. The revised version of the Terms is effective immediately when posted on the Website.
    2. It is your responsibility to learn of any revision of these Terms on the Website.
  12. New Zealand Website

    1. These Terms are subject to New Zealand law and you irrevocably accept the jurisdiction of the New Zealand Courts.

  14. Definitions

    1. To shorten the length of this document we have used some abbreviations:
      1. Account means the account you create when you register on our Shopify Portal;
      2. PCL/Gravitas Media Terms and Conditions of Sale means our standard terms and conditions of sale which apply to all Orders made through the Shopify Portal;
      3. Customer means University of Waikato;
      4. E-Commerce Service means the service available through the Shopify Portal by which amounts payable to us may be paid by credit or debit card transaction;
      5. Goods has the same meaning as stated in PCL/Gravitas Media’s Terms and Conditions of Sale;
      6. Order means the order for Services submitted by you through the Shopify Portal on behalf of the Customer;
      7. Price means the price stated on the Order confirmation screen which shall include GST unless stated plus any additional charges levied by us in accordance with clauses 6.3 or 9.3;
      8. Services means the printing services offered by us through the Shopify Portal;
      9. Shopify Portal means the web interface supplied by us which gives you the ability to submit Orders to us online.
